Introduction

These Terms of Service ("Terms") govern your use of the Fix Action Inc. website at fixactioninc.com and the Fix Action client portal. By accessing or using our website or client portal, you agree to be bound by these Terms. If you do not agree, do not use our services.

"You" refers to any individual or entity accessing our website or client portal. "We," "us," and "our" refer to Fix Action Inc.

Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Account Terms

To access the client portal, you need an account. When we set up your account or you create one, you agree to:

  • Provide accurate and complete information.
  • Keep your login credentials confidential and not share them with others.
  • Notify us immediately if you suspect unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

Acceptable Use

When using our website and client portal, you agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any part of our systems or other users' accounts.
  • Upload or transmit viruses, malware, or other harmful code.
  • Interfere with or disrupt the operation of our services.
  • Use automated tools (bots, scrapers, etc.) to access our services without our written permission.

Our Services

Fix Action Inc. provides IT services including web development, cybersecurity, IT consulting, and help desk support. The specific services provided to you are defined in your individual service agreement or statement of work.

The client portal allows you to track project progress, submit support tickets, exchange messages with our team, and access project-related documents. We may update or modify the portal features at any time.

Intellectual Property

Our Property

The Fix Action website, client portal, branding, logos, and all related content are the property of Fix Action Inc. You may not copy, modify, distribute, or create derivative works from our materials without our written consent.

Work Product

Ownership of work product (code, designs, documentation, etc.) created as part of a client engagement is determined by the terms of your individual service agreement. Unless your service agreement states otherwise, we retain ownership of all work product until final payment is received, at which point ownership transfers to you.

Your Content

You retain ownership of any content you upload to the client portal (documents, files, messages, etc.). By uploading content, you grant us a limited license to use that content solely for the purpose of providing our services to you.

Payment Terms

Payment terms are outlined in your individual service agreement or invoice. Unless otherwise agreed in writing, invoices are due within 15 days of the invoice date. Late payments may be subject to a fee of 1.5% per month on the outstanding balance.

We reserve the right to suspend services if payment is more than 15 days overdue after written notice.

Limitation of Liability

To the fullest extent permitted by law, Fix Action Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services.

Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the total amount you paid to us in the 12 months before the claim arose.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those cases, our liability will be limited to the greatest extent permitted by law.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that our website or client portal will be uninterrupted, error-free, or completely secure. We are not responsible for any damage to your computer system or loss of data that results from your use of our services.

Indemnification

You agree to indemnify and hold harmless Fix Action Inc., its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

Termination

Either party may terminate the use of our website and client portal at any time. We may suspend or terminate your access without notice if you violate these Terms.

Upon termination of your account, we will retain your data for 90 days to allow you to request a copy. After that period, your data will be deleted in accordance with our Privacy Policy.

Termination does not affect any obligations that arose before the termination date, including payment obligations.

Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our services after the effective date means you accept the revised Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in the State of Georgia, conducted under the rules of the American Arbitration Association.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
